General terms and conditions of sale

These General Terms and Conditions of Sale (GTC) govern the subscription, payment, and use of the paid subscriptions offered by the Jynova platform, published by JYNHOLD.
Any subscription to a service implies full and unreserved acceptance of these GTC.

1. Purpose

The purpose of these GTC is to define the conditions under which JYNHOLD provides, at a cost, access to the Jynova SaaS platform and all its paid features, as part of a subscription.

2. Scope of Application

The GTC apply to any professional or individual client subscribing to a paid subscription on Jynova.
They complement the Terms of Use (TOU) and the Privacy Policy, which remain fully applicable.

3. Acceptance of the GTC

Validation of a paid subscription constitutes express and unconditional acceptance of these GTC.
The Client acknowledges having read the GTC before any subscription.

JYNHOLD reserves the right to modify the GTC at any time. Changes take effect as soon as they are published on the platform.

4. Offers and Subscriptions

Jynova offers several subscription plans, including:

  • Individual and multi-user plans

  • Monthly or annual subscriptions

  • Collaboration options and adding seats

The exact content of each offer is described on the site or in the subscription interface. JYNHOLD reserves the right to evolve the features included in the offers.

5. Pricing

Prices are indicated in euros (€), excluding taxes, unless stated otherwise.
The applicable taxes (including VAT) are added in accordance with current regulations.

JYNHOLD reserves the right to change its prices at any time. New prices apply only to subscriptions or renewals made after their entry into force.

6. Payment

Payment for subscriptions is made through secure third-party payment providers (including Lemon Squeezy).

Accepted payment methods include:

  • Credit card

  • PayPal

Subscriptions are billed in advance and automatically renewed according to the chosen frequency, unless prior cancellation occurs.

7. Automatic Renewal

Unless cancelled before the due date, the subscription is automatically renewed for a period identical to that originally chosen (monthly or annually).

The Client can manage their subscription at any time from their personal space or via the client portal of the payment provider.

8. Subscription Modification

The Client can change their plan (upgrading or downgrading) at any time.

  • Upgrades may incur an immediate prorated charge.

  • Downgrades take effect according to the terms defined by the payment provider (immediately or in the next cycle).

The exact proration terms are determined by the payment provider used.

9. Right of Withdrawal and Refund

In accordance with applicable regulations:

  • The Client has a 14-day right of withdrawal from the initial subscription.

  • This right applies only to the first subscription period.

  • Renewals are non-refundable.

Any request for a refund must be sent to admin@jynhold.fr within the legal timeframe.
In case of a refund, access to the platform may be immediately suspended.

10. Termination

The Client can terminate their subscription at any time from their personal space.

Termination takes effect at the end of the current billing period.
No refund is made for a period started, except as provided by law or for a refund granted under the right of withdrawal.

11. Suspension and Termination by JYNHOLD

JYNHOLD reserves the right to suspend or terminate a subscription, without notice, in case of:

  • Violation of the TOU or GTC

  • Non-payment

  • Fraudulent or abusive use of the platform

  • Threat to the security or integrity of the service

12. Liability

JYNHOLD cannot be held liable for indirect damages, loss of revenue, loss of data, or commercial harm.

JYNHOLD's total liability is strictly limited to the amounts actually paid by the Client in the last twelve (12) months preceding the event causing the liability.

13. Personal Data

The personal data collected in connection with billing and subscription management are processed in accordance with Jynova's Privacy Policy.

14. Modification of the GTC

JYNHOLD reserves the right to modify these GTC at any time.
Clients will be informed of modifications by email and/or via the platform.
Continued use of the services after modification implies acceptance of the new GTC.

15. Governing Law and Jurisdiction

These GTC are governed by French law.
In case of a dispute, an amicable solution will be sought before any legal action.
Failing this, the courts of Paris will be the only competent jurisdiction.
